Acceptance of Terms

By accessing or using AssetOps services (including RoofingOps, FencingOps, and 1Stop Property Management), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

These terms apply to all users, including customers seeking services, contractors providing services, and property owners.

Service Description

AssetOps operates as a platform connecting property owners with licensed contractors for roofing, fencing, property management, and related services.

Our services include:

  • Matching customers with qualified contractors
  • Project coordination and communication facilitation
  • Quote request processing and delivery
  • AI-powered service concierge (Alfred)
  • Payment processing coordination
  • Project status tracking and updates

Important: AssetOps is a platform service only. We do not directly perform construction, roofing, fencing, or property management work. All work is performed by independent contractors.

SMS Communications & Consent

⭐ CRITICAL: SMS Consent Terms

By submitting a quote request or providing your phone number to AssetOps, you expressly consent to receive communications as described below.

You consent to receive:

  • Automated text messages from AssetOps and our contractor network
  • Two-way SMS communications with our AI service concierge (Alfred)
  • Transactional messages including quote updates, scheduling confirmations, and project status
  • Marketing messages about our services and promotions (you may opt out of these)
Message Frequency

Message frequency varies based on your project. You may receive multiple messages per day during active project coordination.

Message & Data Rates

Standard messaging and data rates may apply from your carrier. AssetOps does not charge for SMS messages.

Opt-Out Instructions:

  • Reply STOP to any message to unsubscribe from all future messages
  • Reply HELP for customer support assistance
  • Reply START to re-subscribe after opting out

Additional SMS Terms:

  • Carrier Support: We support all major US carriers. Carriers are not liable for delayed or undelivered messages.
  • Consent Not Required for Purchase: You are not required to consent to SMS communications as a condition of purchasing any goods or services.
  • Phone Number Changes: You must notify us immediately if you change your phone number to avoid unauthorized access to your account.
User Accounts

You may be required to create an account to access certain features of our service. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Providing accurate and current information
Contractor Relationships

Independent Contractor Model

All contractors providing services through our platform are independent contractors, not employees, agents, or partners of AssetOps.

AssetOps does not:

  • Employ or supervise contractors
  • Guarantee the quality of work performed by contractors
  • Assume responsibility for contractor actions or omissions
  • Control how contractors perform their work

All agreements for services are directly between you and the contractor. We facilitate connections and communication only.

Project Quotes & Pricing

Quotes provided through our platform are estimates only and are subject to change based on:

  • Property inspection findings
  • Scope of work adjustments
  • Material cost changes
  • Unforeseen circumstances

Final pricing and payment terms are established between you and the contractor. AssetOps may facilitate payment processing but does not set or guarantee pricing.

Payment Terms

Payment for services is made directly to contractors or through our payment processing system. By using our payment processing:

  • You authorize us to charge your payment method
  • You agree to provide valid payment information
  • Refunds are subject to contractor policies and applicable law
  • Disputes must be resolved directly with the contractor
Warranties & Disclaimers

IMPORTANT: Service Provided "AS IS"

OUR PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, AssetOps disclaims all warranties, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the service will be uninterrupted or error-free
  • Warranties regarding contractor quality, reliability, or performance
  • Warranties that results or outcomes will meet your expectations
Limitation of Liability

LIABILITY CAPS

TO THE FULLEST EXTENT PERMITTED BY LAW, ASSETOPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

In no event shall AssetOps' total liability exceed the amount you paid to us in the twelve (12) months preceding the claim.

This limitation applies to all claims, including but not limited to:

  • Property damage or personal injury
  • Lost profits or business opportunities
  • Data loss or system failures
  • Contractor negligence or misconduct
Indemnification

You agree to indemnify, defend, and hold harmless AssetOps and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your interactions with contractors or other users
Intellectual Property

All content, features, and functionality of the AssetOps platform, including but not limited to text, graphics, logos, and software, are owned by AssetOps and protected by intellectual property laws.

You may not:

  • Copy, modify, or distribute our content
  • Use our trademarks without written permission
  • Reverse engineer or decompile our software
  • Create derivative works based on our platform
Privacy & Data

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

Dispute Resolution & Arbitration

MANDATORY ARBITRATION

By using our services, you agree that any dispute arising from or relating to these Terms or our services will be resolved through binding arbitration, not in court.

Arbitration Terms:

  • Disputes will be resolved by binding arbitration in accordance with the American Arbitration Association (AAA) rules
  • Arbitration will take place in Texas
  • Each party will bear their own costs and attorney fees unless otherwise awarded by the arbitrator
  • The arbitrator's decision will be final and binding
  • You waive your right to a jury trial
  • You waive your right to participate in a class action lawsuit

Governing Law:

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.

Small Claims Exception: You may bring an individual action in small claims court if your claim qualifies and remains in small claims court.

Termination

We may terminate or suspend your access to our services at any time, with or without cause, with or without notice.

You may terminate your account at any time by contacting us.

Upon termination:

  • Your right to use our services will cease
  • Outstanding obligations will remain in effect
  • Provisions that should survive termination will continue (e.g., warranties, liability, indemnification)
Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Sending notification via SMS or email (for significant changes)

Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.

Miscellaneous

Severability:

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AssetOps.

Waiver:

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment:

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
